This Copyright, Intellectual Property, and DMCA Policy ("IP Policy") explains our procedures for handling claims of copyright and trademark infringement, as well as our policies regarding intellectual property ownership on our platform.
This Policy should be read together with our Terms of Service, which contain additional provisions regarding intellectual property rights, user-generated content, and our ownership of the Becoming Alpha platform and services. This Policy applies to content posted or uploaded to Becoming Alpha's platform, including but not limited to text, images, videos, audio, software, and other materials. Because Becoming Alpha may involve blockchain technology and decentralized storage, certain limitations apply to our ability to remove content, as explained below.
Intellectual Property Ownership
Platform Ownership: Becoming Alpha and its original content, features, functionality, and design are owned by Becoming Alpha, Inc. and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.
User Content: You retain ownership of any intellectual property rights that you hold in content you create, upload, or post on our platform. However, by using our Services, you grant Becoming Alpha a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute, and display your content solely for the purpose of operating and improving our Services, as further detailed in our Terms of Service.
Third-Party Content: You may not upload, post, or otherwise make available on Becoming Alpha any content that infringes upon any patent, trademark, trade secret, copyright, or other proprietary rights of any party. You are responsible for ensuring that you have all necessary rights, licenses, and permissions to use and share any content you post on our platform.
DMCA Notice and Takedown Process
Becoming Alpha complies with the Digital Millennium Copyright Act ("DMCA") and similar copyright laws in other jurisdictions. If you believe that content posted on our platform infringes your copyright, you may submit a DMCA takedown notice to us. Upon receipt of a valid DMCA notice, we will take appropriate action, which may include removing or disabling access to the allegedly infringing content.
Required Information for DMCA Takedown Notices:
To submit a valid DMCA takedown notice, you must provide the following information in writing:
- Identification of the copyrighted work: A description or identification of the copyrighted work that you claim has been infringed. If multiple works are involved, please provide a representative list of the works.
- Identification of infringing material: A description of the material that you claim is infringing and information sufficient to permit us to locate the material (e.g., URLs, specific page locations, or other identifying information).
- Your contact information: Your name, address, telephone number, and email address.
- Good faith statement: A statement that you have a good faith belief that the use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law.
- Accuracy statement: A statement that the information in your notice is accurate and, under penalty of perjury, that you are the copyright owner or authorized to act on behalf of the copyright owner.
- Physical or electronic signature: Your physical or electronic signature (e.g., a typed name can serve as an electronic signature).

Processing Time: We will review valid DMCA notices promptly and typically respond within 5-10 business days. If we determine that a notice is valid, we will remove or disable access to the allegedly infringing content and notify the user who posted the content. We reserve the right to remove content at any time if we determine it may be infringing, even without a formal DMCA notice.
False Claims: Please note that submitting a false DMCA notice may result in liability for damages, including costs and attorneys' fees. Before submitting a notice, please ensure that you have a good faith basis for your claim and that you own or are authorized to act on behalf of the copyright owner.
DMCA Counter-Notice Process
If your content has been removed or disabled as a result of a DMCA takedown notice, and you believe that the removal was mistaken or that you have a legal right to use the material, you may submit a counter-notice to us.
Required Information for Counter-Notices:
To submit a valid DMCA counter-notice, you must provide the following information in writing:
- Identification of removed content: A description of the material that was removed or disabled and the location where it appeared before it was removed (e.g., the URL).
- Good faith statement: A statement under penalty of perjury that you have a good faith belief that the material was removed or disabled as a result of mistake or misidentification.
- Consent to jurisdiction: Your name, address, telephone number, and a statement that you consent to the jurisdiction of the Federal District Court for the judicial district in which your address is located (or if your address is outside the United States, the Federal District Court for the Northern District of Georgia, where Becoming Alpha is headquartered), and that you will accept service of process from the person who submitted the original DMCA notice or their agent.

Restoration of Content: Upon receipt of a valid counter-notice, we will forward it to the party who submitted the original DMCA notice. If we do not receive notice within 10 business days that the original complaining party is seeking a court order to prevent the restoration of the content, we may restore the removed content. However, we are not required to restore content, and we reserve the right to keep content removed if we determine it violates our Terms of Service or other policies.
Repeat Infringer Policy
Becoming Alpha takes copyright infringement seriously. In accordance with the DMCA and industry best practices, we maintain a policy of terminating, in appropriate circumstances, the accounts of users who are repeat copyright infringers.
Termination Criteria: If a user receives multiple valid DMCA takedown notices for content they have posted, or if we otherwise determine that a user is engaging in repeated copyright infringement, we may:
- Issue warnings and require the removal of infringing content
- Temporarily suspend the user's account
- Permanently terminate the user's account
- Take any other action we deem appropriate under the circumstances
We consider various factors when determining whether to terminate an account, including the number and nature of infringement claims, whether the user has responded to previous notices, the user's history on our platform, and whether the infringement appears to be intentional or accidental.
Appeals: Users whose accounts are terminated for repeat infringement may contact us to appeal the termination if they believe it was made in error. However, we are not obligated to restore terminated accounts.
Blockchain and Decentralized Content Limitations
Becoming Alpha may utilize blockchain technology and decentralized storage systems as part of our platform. This creates certain limitations on our ability to remove or modify content, even after receiving a valid DMCA notice or determining that content violates our policies.
Immutability of Blockchain: Content stored on a blockchain (such as transaction records, metadata, or content hashes) may be permanently recorded and cannot be altered or deleted once it has been added to the blockchain. While we can remove access to content from our centralized platform and interfaces, we cannot remove data that has been permanently stored on a public blockchain.
Decentralized Storage: If content is stored on decentralized storage networks (such as IPFS), the content may be accessible through other interfaces or nodes even after we remove it from our platform. We will make reasonable efforts to remove or disable access to content through our Services, but we cannot guarantee that content will be completely inaccessible through all decentralized systems.
User Wallets and Private Keys: Becoming Alpha is a non-custodial platform. Users control their own wallets and private keys. We cannot access, modify, or remove content or transactions associated with user wallets that are stored on the blockchain, even if that content violates our policies or infringes intellectual property rights.
Our Actions: Despite these limitations, when we receive a valid DMCA notice or determine that content violates our policies, we will:
- Remove or disable access to the content through our centralized platform and interfaces
- Take appropriate action against the user account, up to and including termination
- Notify the user and any relevant parties
- Make reasonable efforts to prevent the content from being re-uploaded or accessed through our Services
By using Becoming Alpha's Services, you acknowledge and understand these limitations and agree that Becoming Alpha is not responsible for content that remains accessible through blockchain or decentralized systems after we have removed it from our centralized platform.
Trademark Complaint Procedures
If you believe that content on Becoming Alpha infringes your trademark rights, you may submit a trademark complaint to us. While trademark claims are not subject to the DMCA notice-and-takedown process, we take trademark infringement seriously and will investigate valid complaints.
Required Information for Trademark Complaints:
To submit a trademark complaint, please provide the following information:
- Trademark identification: A clear description or identification of the trademark you claim has been infringed, including registration numbers and jurisdictions where the mark is registered (if applicable).
- Evidence of ownership: Documentation demonstrating that you own or are authorized to act on behalf of the trademark owner (e.g., trademark registration certificates, evidence of use, or authorization letters).
- Identification of infringing use: A description of how the allegedly infringing content uses your trademark and why you believe such use is unauthorized.
- Location of infringing content: Specific URLs or other information sufficient to permit us to locate the allegedly infringing content.
- Good faith statement: A statement that you have a good faith belief that the use of your trademark is not authorized by the trademark owner, its agent, or the law.
- Accuracy statement: A statement that the information in your complaint is accurate and that you are the trademark owner or authorized to act on behalf of the owner.
- Contact information: Your name, address, telephone number, and email address.
- Signature: Your physical or electronic signature.
